Not Defined Terms helps reviewers identify capitalized phrases that look like defined terms but aren’t actually defined or excluded, ensuring your contracts remain clear and enforceable.
🔍 What It Does
Not Defined Terms automatically detects capitalized phrases that appear to be defined terms but are not listed in definitions or exclusions.
It helps reviewers quickly decide whether such terms should be:
- Defined (if missing from the definitions list)
- Excluded (if intentional)
- Corrected (if capitalization was used by mistake)
⚙️ How It Works
The tool scans the document for two or more consecutive capitalized words, including phrases appearing after punctuation marks (?, ., !).
If both the first and second words are capitalized - it’s flagged as a potential undefined term.
🚫 Exceptions (Not Flagged)
To reduce false positives, the tool automatically ignores phrases found in:
- Headings or provision headings
- Phrases shorter than 4 characters
- ALL CAPS words (e.g., acronyms)
- Phrases starting a new line
- Sentences after
?,., or!when it’s just the first capitalized word - Cross-References
- To-Dos
- Ancillaries (Exhibit, Schedule, Appendix, Addendum, etc.)
- Currency strings
If a phrase matches an item from the Exclusion list, it’s automatically moved there.

Why it matters
- Prevents ambiguous terms from slipping through.
- Helps ensure every capitalized phrase is either defined, excluded, or explained.
- Supports clean, enforceable drafting with no loose ends.
